China NDA & NNN Agreements
Protect Your Confidential Information in China
A strong, enforceable NDA (or NNN — Non-Disclosure, Non-Use, Non-Circumvention) is essential when sharing sensitive business information with manufacturers, suppliers, partners, or potential collaborators in China.
Our bilingual (English/Chinese) agreements clearly define confidential information, restrict its use and disclosure, and provide practical remedies under PRC law.

How NDAs Work in China
NDAs protect intellectual property, trade secrets, designs, pricing, customer data, and other proprietary information during negotiations, manufacturing, or partnerships. They can be unilateral (protecting the discloser) or mutual.
A properly drafted NDA remains effective throughout and after the business relationship, giving you legal recourse if information is misused.
Key Provisions We Include
The best way to understand an NDA is to go through a few typical provisions:
-
Identity of the parties to the agreement (name, address, and other basic identifying information).
-
The definition of what is confidential, which typically takes the form of a long list of items (i.e.: financial information, customer lists, product specifications, etc.) and a catch-all phrase to cover anything that’s not explicitly mentioned.
-
The agreed exclusions from what must be kept confidential.
-
The length of time confidentiality must be maintained.
-
The law and jurisdiction governing the parties.
-
An agreed method for resolving disputes (i.e.: litigation or arbitration).
-
The official language of the agreement if it is bilingual (English/Chinese).
We draft NDAs tailored to your industry — whether manufacturing, technology, consulting, or other sectors — ensuring they are practical and court-ready.
Why a China-Specific NDA Matters
Generic templates often fail in Chinese courts. We draft agreements that comply with PRC Contract Law and evidence rules, increasing your chances of successful enforcement. This is especially important for manufacturing, tech transfer, and joint development scenarios where IP leakage risks are high.
Our Approach
We work quickly to understand your specific situation and deliver a tailored NDA that balances strong protection with commercial practicality. Whether you're in early supplier discussions or long-term partnerships, our agreements help you share information with confidence.
